5.發生緣由:依行政院金融監督管理委員會98年5月20日金管證一字第0980026623號及101年9月20日金管證審字1010044496號函示，本公司之子公司興華電子工業股份有限公司資金貸與其子公司紹興歐柏斯光電有限公司，其資金貸與餘額已超逾所訂資金貸與限額，應訂定改善計劃及按季公告執行情形。
6.因應措施:因興華電子連續數年虧損，淨值下降，故造成子公司資金貸與超限，興華電子已積極努力開發新市場及新產品，監督歐柏斯作業，且現歐柏斯正持續分期清償中。又歐柏斯之新增機器已陸續進廠正式運作，對於產量及品質有大幅進展，對於未來市場之規劃及變動亦會隨時向本公司報告。
截至6月底興華電子資金貸與金額歐柏斯光電金額為新台幣40,138仟元。
7.其他應敘明事項:本公司之子公司資金貸與他人之改善計劃執行情形
(1)按季公告執行情形。
(2)逐季提報董事會控管。
